GENERAL TERMS AND CONDITIONS OF SALE AND DELIVERY

 

 

1. Scope of Application

 

These General Terms and Conditions of Sale and Delivery apply to all legal relationships between Metaltek DOOEL, Brand Fliagrill, and its customers. Deviating or supplementary agreements require our express written confirmation. Conflicting terms and conditions of the customer shall only be recognized if expressly confirmed by us in writing.

 

2. Conclusion of Contract

 

All offers and price quotations are non-binding and become legally binding only upon our written order confirmation. The buyer is obliged to review the order confirmation immediately for accuracy. The order confirmation shall be considered legally binding even without signature.

In the event of withdrawal from the contract, costs may arise depending on the production status. Subsequent amendments require our written confirmation; otherwise, they shall be deemed invalid.

 

3. Prices and Payment Terms

 

All prices are net prices plus applicable statutory value-added tax and, in the case of international deliveries, any customs duties or import charges, which will be invoiced separately.

 

4. Retention of Title

 

The delivered goods remain our property until full payment has been received.

 

5. Delivery Date

 

We make every effort to comply with delivery dates; however, we assume no liability for delays. Delivery times are non-binding. The buyer waives any claims arising from delayed delivery (e.g., withdrawal, damages). Partial deliveries are permitted.

 

6. Returns

 

Returns are only possible with our prior written approval and only in unused, resaleable condition. A handling fee of 20% will be deducted from any credit note issued.

 

7. Warranty for Defects

 

Any defects must be reported to us in writing immediately upon receipt of the goods, including photo evidence. Otherwise, the delivery shall be deemed accepted as defect-free. Hidden defects must be reported in writing within one week after discovery.

Our liability is limited to subsequent performance (replacement delivery or repair) within a reasonable period.

Transport damage must be reported immediately to the carrier with written reservation; otherwise, our liability shall be excluded.

Packaging must be removed promptly after receipt; otherwise, claims for surface damage are excluded.

 

8. Shipping, Packaging and Transfer of Risk


  • Shipping is carried out through freight forwarders commissioned by us.
  • The customer confirms the correctness of the delivery address via email delivery note.
  • Deliveries are made to Switzerland, Europe, and America. Customs clearance (e.g., USA/Europe) is handled by the freight forwarder and invoiced separately.
  • Incorrect delivery addresses result in additional costs borne by the customer.
  • The general terms and conditions of the freight forwarder shall apply to transport. Special packaging or storage requires separate agreement and will be charged additionally.


 

9. Governing Law and Jurisdiction

 

This contract shall be governed exclusively by the laws of the Republic of North Macedonia, excluding the United Nations Convention on Contracts for the International Sale of Goods (CISG).

The place of jurisdiction for all disputes arising out of or in connection with this contract shall be the competent court in Kumanovo, Republic of North Macedonia.
